Dear Acquisition Team,
Following our preliminary discussions regarding the Wilhelmshaven refinery and adjacent land package, GVP Commodities (HOS) formally requests to initiate the 90-day due diligence period as outlined in our draft SPA.
Our DD team will consist of:
- Lucas Augusto (Lead, GVP Commodities)
- Omar Hassan (Infrastructure & Logistics Director)
- Marcus Warden (Head of Compliance & Due Diligence)
- Independent environmental consultants (TBD)
- Independent financial auditors (TBD)
We request access to:
1. Operational records (last 5 years)
2. Environmental compliance certifications and any remediation history
3. Capacity utilization data and throughput statistics
4. Employee contracts and labor agreements
5. All existing permits, licenses, and regulatory filings
6. Adjacent land surveys, title deeds, and zoning documentation
Proposed DD start date: March 18, 2026.

Available documentation:
- Operational records: 5 years of production data, maintenance logs, and throughput reports
- Environmental: Current BImSchG permits, last environmental audit (2025), no pending remediation orders
- Capacity: Refinery processes 240,000 barrels/day, current utilization at 78%
- Land package: Survey completed 2024, zoning confirmed for industrial/energy use
- Financial: Audited accounts available in virtual data room
A virtual data room will be set up by March 15 with preliminary access. On-site visits can be arranged starting March 20.

- Corporate entity verification: Confirmed, registered in Germany
- Beneficial ownership: Identified and screened — no sanctioned individuals
- KYC on seller signatories: Verified, no adverse findings
- Environmental compliance history: No regulatory violations in the last 10 years
- Anti-bribery screening: Clear
The seller entity is clean. We're good to proceed with DD.
I'll be ready for the on-site visit on March 20. Recommend we prioritize the environmental assessment and capacity audit in the first 30 days.
